1. Parties and purpose. BSV USA Association (in formation, "BSV USA") and BSV Association ("BSVA") propose a working group to improve US access to BSV. Cooperation and affiliation await both sides' approval and signatures.
2. Division of work. BSV USA leads US market access, the listing data room, US demand evidence, US custody and venue outreach, and the weekly public Space. Nancy (@NasdaqNancy), its pseudonymous founder, hosts. BSVA leads protocol, brand, standards and global coordination. This allocation grants no protocol authority.
3. Liaisons and accountability. Proposed liaisons: John Calhoun (@johncalhooon), Director, for BSV USA; Connor Murray for BSVA, subject to BSVA confirmation. Replacements must be named. BSV USA publishes named leadership and a budget before outreach, including zero amounts where applicable. Each side controls its own budget.
4. Shared listing tracker. Liaisons maintain venue/code, US availability, new listing/relisting, stage, human owner, blocker, dossier link and next update. Stages: contact, application, review, integration, approved, live. Code confidential venues; restrict the identity key. Both liaisons confirm one human lead per venue before outreach. Neither duplicates an application. Authorized humans use official channels. Agents may research and draft. Agents never message exchanges.
5. Information and confidentiality. Share dated, sourced material with permission; mark unknowns. Mark confidential items, restrict access to named recipients and use them only for this work. Obtain the source's written permission before onward sharing or publication. Respect existing confidentiality duties. Withhold material needing enforceable protection pending a separate confidentiality agreement.
6. Brand use. Seek BSVA's written permission for the name "BSV USA Association" and, after signatures, the description "an independent US market-access working group cooperating with BSVA." Until cleared, describe only proposed cooperation. Logos need separate written permission and approved usage rules. No chapter status or endorsement is implied. This MoU grants no trademark licence.
7. No rename. Both intend to retain the chain name Bitcoin SV and ticker BSV. Neither pursues, promotes or funds a chain or ticker rename.
8. No litigation against exchanges. Each intends not to bring, fund or threaten litigation against exchanges. Each speaks only for its own conduct. Neither controls, waives or promises to end third-party claims.
9. Publication. Either may describe its own work and reuse jointly cleared relationship wording. New public statements about the other, this MoU or joint progress need the other's written clearance before posting or speaking. Liaisons aim to review within three working days; silence is not approval. Listing updates must be verified and cleared.
10. Term and limits. Six months from the second signature, with a joint review at three months. Renewal needs written confirmation from both sides. Either may leave by written notice. Every clause is non-binding, including confidentiality and brand provisions. No funds change hands under this MoU. It authorizes no spending or partnership. Neither may bind the other. Signatures record intentions only.
